Terms of Service

These terms set out the conditions for using LayerClock (the "Service"). By registering, you are deemed to have agreed to these terms.

This English version is a reference translation. The Japanese version prevails in case of any discrepancy. Please have it reviewed by your legal counsel before relying on it.

Article 1 (Overview of the Service)

The Service is a time-management tool that runs in a web browser, combining a 4-level WBS (Work Breakdown Structure) with timer tracking. It structures work in 4 levels — project, phase, deliverable, and task — and provides recording, aggregation, and analysis of effort.

The Service is intended for people aged 18 or older, whether for personal or business use.

Article 2 (Account registration)

Account registration (email address and password) is required to use the Service.

When registering, please comply with the following.

  • Enter accurate information
  • Register only one account per person
  • Do not disclose your password to third parties
  • Promptly notify the operator if you discover unauthorized access

The operator is not liable for damages arising from unauthorized use of an account.

Article 3 (Plans and pricing)

The Service offers the following two plans.

  • Fees are charged automatically each month on the same day as the service start date, as a monthly subscription
  • The only payment method is credit card (via Stripe)
  • All displayed prices include consumption tax

Article 4 (Cancellation and refunds)

You may cancel the Business plan at any time. After cancellation, you can continue to use it until the end of the current contract period. After the period ends, you are automatically moved to the Free plan.

Due to the nature of digital services, we generally do not provide refunds. You can cancel from your account via "Settings" → "Account" → "Plan management".

Article 5 (Handling of data)

The retention period for work logs and WBS data depends on the plan (Free plan: 6 months; Business plan: 36 months). Data exceeding the retention period may be deleted.

If you delete your account, all data is permanently deleted and cannot be restored. If you are on a paid plan, please cancel the plan first.

Article 6 (Use of API keys)

Business plan users can issue API keys (personal access tokens). These terms also apply to access via API keys.

  • Do not disclose or transfer API keys to third parties
  • Perform automation and external integrations using API keys at your own responsibility
  • Do not place excessive load on the server through excessive API requests

Article 7 (Prohibited conduct)

The following conduct is prohibited.

  • Conduct that violates laws or public order and morals
  • Conduct that infringes the rights of the operator or third parties
  • Unauthorized access or reverse engineering
  • Placing excessive load on the Service
  • Causing nuisance to other users
  • Holding multiple accounts per person
  • Transferring or lending an account to a third party

If you violate the above, your account may be suspended or deleted without notice.

Article 8 (Changes, suspension, and termination of the Service)

The operator may change, suspend, or terminate all or part of the Service without notice in the following cases.

  • When system maintenance or incident response is required
  • Due to force majeure such as natural disasters or accidents
  • Other unavoidable operational reasons

If we terminate the Service, we will notify you in advance as far as possible. For paid-plan users, we will consider a refund for the remaining period.

Article 9 (Disclaimer)

The operator is not liable for any direct or indirect damages arising from use of the Service, except where the operator is willfully or grossly negligent.

The Service does not guarantee complete preservation of data. We recommend regularly backing up important data using the export feature (CSV export).

Article 10 (Changes to the terms)

The operator may change these terms as necessary. If there are significant changes, we will notify you in advance within the service or by email. If you continue to use the Service after the change, you are deemed to have agreed to the revised terms.

Article 11 (Governing law and jurisdiction)

These terms are interpreted in accordance with the laws of Japan. Any disputes regarding the Service are subject to the exclusive agreed jurisdiction of the court having jurisdiction over the operator's location.
